These Terms of Service ("Terms") govern your access to and use of OurVaya, a platform operated by Billimen Inc. ("we," "us," or "our"). By creating an account or using any part of OurVaya, you agree to these Terms. If you do not agree, do not use the platform.
1. Acceptance of Terms
By accessing ourvaya.com or any OurVaya application, you confirm that you are at least 18 years old (or have parental or guardian consent), have read and agree to these Terms, and have read and agree to our Privacy Policy. If you are using OurVaya on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
2. Account Registration
You must create an account to access OurVaya. When you register, you agree to: provide accurate, current, and complete information; keep your account credentials confidential; not share your login with anyone else; and notify us immediately at founder@partnastudio.com if you suspect unauthorized access. You are responsible for all activity that occurs under your account.
3. Subscriptions and Billing
OurVaya offers subscription plans billed monthly: Free ($0), Aspirer ($14.99/mo), Operator ($39/mo), and Builder ($97/mo). We also offer one-time Playbook Bundle purchases at $9 per vertical.
Billing: Paid subscriptions are billed in advance on a recurring monthly cycle through Stripe. Your billing date is set at the time of initial purchase.
Automatic Renewal: Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date.
Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You retain access to paid features until that date.
Price Changes: If we change subscription pricing, we will give you at least 30 days' notice by email. Price changes take effect at your next renewal.
Payment processing is handled by Stripe. By providing payment information, you also agree to Stripe's terms of service. We do not store your full payment card details.
4. Refund Policy
We do not issue refunds for partial subscription periods. If you cancel mid-cycle, you keep access through the end of the period you paid for. One-time Playbook Bundle purchases are non-refundable once content has been accessed. 5. Acceptable Use
OurVaya is an educational platform. You agree to use it only for its intended purpose and in compliance with all applicable laws. You may not: scrape or extract platform content using automated means; share your account credentials; copy, reproduce, or resell any platform content without written permission; reverse engineer any OurVaya tool or application; upload malware or harmful code; harass or harm other users; or impersonate any person or OurVaya itself. Violations may result in immediate account suspension or termination without refund.
6. Digital Credentials
OurVaya issues Open Badge 3.0 digital credentials to users who pass vertical exams with a score of 70% or higher. These credentials are educational certificates that recognize your completion of OurVaya's curriculum for a given vertical. They are not professional licenses, regulated certifications, or credentials recognized by any licensing body, government agency, or professional association.
Credentials are tied to your account. You may not transfer, sell, or misrepresent your credentials. We reserve the right to revoke credentials earned through academic dishonesty or violations of these Terms.
7. Intellectual Property
Our Content: All content on OurVaya — including entrepreneur profiles, decision game simulations, interactive tools, exhibits, playbooks, curriculum, text, graphics, and software — is owned by Billimen Inc. or its licensors. Your subscription gives you a limited, non-exclusive, non-transferable license to access and use OurVaya content for your personal, non-commercial educational purposes.
Your Content: You retain ownership of any content you submit to the platform, including your display name and avatar. By submitting such content, you grant Billimen Inc. a limited, royalty-free license to display and store that content solely to operate and improve the platform.
8. Disclaimer of Warranties
OurVaya is provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by law, Billimen Inc. disclaims all warranties, including merchantability and fitness for a particular purpose.
OurVaya is an educational platform. Nothing on the platform constitutes financial, legal, investment, tax, or professional advice. Content about entrepreneurs, business strategies, or market conditions is for educational purposes only. You should consult qualified professionals before making business, financial, or legal decisions.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Billimen Inc. will not be liable for indirect, incidental, special, punitive, or consequential damages, or for loss of profits, revenue, data, or business opportunities. Our total liability to you for any claim arising from use of the platform will not exceed the greater of: (a) the amount you paid to us in the 12 months before the claim arose, or (b) $100.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Informal Resolution: If you have a dispute, contact us first at founder@partnastudio.com. We will make a good-faith effort to resolve the issue informally within 30 days.
Binding Arbitration: If informal resolution fails, any dispute will be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA). You and Billimen Inc. each waive the right to a jury trial or class action.
11. Changes to These Terms
If we make material changes, we will notify you by email at least 30 days before the changes take effect. Your continued use of OurVaya after the effective date of updated Terms constitutes your acceptance.
12. Termination
You may close your account at any time through account settings. We may suspend or terminate your account if you violate these Terms, if required by law, or if we discontinue the platform. If we terminate your account without cause, we will refund the unused portion of your current billing period.
